Terms of Service

These Terms of Service ("Terms") govern your access to and use of the SignalFlare website and platform (collectively, the "Service") operated by SignalFlare ("SignalFlare", "we", "our", or "us"). By accessing or using the Service, you agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account or using the Service, you represent that you are at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the organization you represent. If you are using the Service on behalf of an organization, your acceptance of these Terms binds that organization.
2. Description of Service
SignalFlare provides usage and spend monitoring for Cloudflare accounts. Using API tokens you supply, the Service periodically reads usage analytics from your Cloudflare account, estimates spend against budgets you configure, and sends notifications over channels you connect. The Service is provided on a subscription basis as described on our Pricing page. SignalFlare is an independent product and is not affiliated with, endorsed by, or sponsored by Cloudflare, Inc.
3. Estimates, Not Invoices
Cloudflare's analytics APIs return sampled data. Spend figures shown or sent by the Service are therefore estimates, and may differ from the amounts Cloudflare actually bills you. The Service is an early-warning tool, not a billing system of record. You remain solely responsible for all charges billed to you by Cloudflare or any other provider, and for monitoring your own accounts. We do not guarantee that any alert will be delivered, or delivered in time to prevent charges.
4. Account Registration and API Tokens
To access the Service, you must register for an account. You agree to:
- Provide accurate, current, and complete information during registration
- Only connect Cloudflare accounts and API tokens you are authorized to use
- Maintain the security of your account credentials
- Notify us immediately of any unauthorized use of your account
- Be responsible for all activities that occur under your account
We reserve the right to terminate accounts that violate these Terms.
5. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law, regulation, or third-party right, including Cloudflare's own terms
- Monitor accounts or infrastructure you do not control or lack permission to monitor
- Upload or transmit malware, viruses, or any harmful code
- Attempt to gain unauthorized access to the Service or other users' accounts
- Conduct denial-of-service attacks or abuse API rate limits
- Reverse engineer, decompile, or disassemble any component of the Service
- Resell or white-label the Service without explicit written permission
6. Subscriptions and Payment
Certain features of the Service require a paid subscription. By subscribing to a paid plan, you agree to:
- Pay the applicable fees as described on our Pricing page
- Provide and maintain valid payment information
- Authorize us to charge your payment method on a recurring basis
All fees are non-refundable except as required by law or as expressly stated in these Terms. We reserve the right to change pricing with 30 days' notice. Continued use of the Service after a price change constitutes acceptance of the new price.
7. Free Tier and Trials
We offer a free tier and a free trial of paid features. No payment method is required for the trial; when a trial ends without a subscription, your account continues on the free tier's limits. Free tiers are subject to usage limits as described on our Pricing page, and we reserve the right to modify or discontinue them with reasonable notice.
8. Early Access Features
Features labelled early access, beta, or preview (including any automated remediation or "kill switch" functionality) are provided as-is, may change or be withdrawn at any time, and may take actions on your infrastructure that you configure. You are responsible for reviewing and testing such configurations, including any provided dry-run modes, before enabling them against production systems.
9. Intellectual Property
SignalFlare and its licensors own all intellectual property rights in the Service, including the software, APIs, documentation, trademarks, and content. These Terms do not grant you any rights to SignalFlare's intellectual property except for the limited license to use the Service as described herein.
You retain ownership of any data you submit to the Service ("Customer Data"), including usage data polled from accounts you connect. You grant SignalFlare a limited license to process Customer Data as necessary to provide the Service.
10. Data and Privacy
Our collection and use of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our data practices as described in the Privacy Policy.
11. Uptime and Service Level
We strive to maintain high availability of the Service. For Enterprise customers, uptime commitments are defined in a separate Service Level Agreement (SLA). For Free and Pro customers, we target high monthly uptime but do not guarantee it. Scheduled maintenance will be announced in advance where practical.
12. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED ACCESS. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, THAT ALERTS WILL BE ACCURATE OR TIMELY, OR THAT USE OF THE SERVICE WILL PREVENT ANY CHARGES FROM ANY THIRD-PARTY PROVIDER.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIGNALFLARE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, OR FOR AMOUNTS BILLED TO YOU BY CLOUDFLARE OR ANY OTHER THIRD PARTY, EVEN IF SIGNALFLARE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL SIGNALFLARE'S TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO SIGNALFLARE IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).
14. Indemnification
You agree to indemnify, defend, and hold harmless SignalFlare and its officers, directors, employees, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; or (c) your violation of any third-party rights, including connecting accounts or tokens you were not authorized to use.
15. Termination
You may terminate your account at any time by using the account deletion feature in the dashboard or by contacting us. We may suspend or terminate your access to the Service at any time if you violate these Terms, with or without notice.
Upon termination, your right to use the Service ceases immediately and your stored API tokens and usage history are deleted as described in the Privacy Policy. Provisions of these Terms that by their nature should survive termination will survive, including intellectual property provisions, disclaimers, and limitations of liability.
16. Governing Law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the courts located in Ontario, Canada, and you consent to the exclusive jurisdiction of those courts.
17. Changes to Terms
We may modify these Terms at any time. We will provide notice of material changes by email or by posting an updated version on the Service. Your continued use of the Service after the effective date of the revised Terms constitutes acceptance of the changes.
